TERMS & USER AGREEMENT

Your Agreement with Imagine Sports, Inc.

I have been granted access to the Imagine Sports test site and allowed to play the game being tested. In exchange, I agree to provide feedback regarding the product to Imagine Sports and to maintain confidentiality. I understand that confidentiality regarding the test product is important and that I will gain access to certain confidential and/or proprietary information of Imagine Sports, either purposefully or accidentally. Such information shall include that which Imagine Sports considers to have value as its confidential or proprietary property of a business or technical nature and may come in any form (ÒConfidential InformationÓ) whether or not marked or designated as confidential. ÒConfidential InformationÓ shall not include information that is or becomes available to the public other than as a result of the disclosure by Individual in violation of this agreement.

In accepting this user agreement, I agree that for three (3) years from the date I accept this User Agreement I will not disseminate or publish Confidential Information or use it in any manner not authorized by Imagine Sports, nor will I copy or reverse engineer any Confidential Information or disclose any Confidential Information for any purpose unless specifically requested to do so by an authorized representative of Imagine Sports. I further acknowledge that disclosure to a competitor would be especially harmful to Imagine Sports and that a condition of acceptance of this User Agreement is that I am not an employee, consultant, shareholder or affiliate of Stats LLC, Whatifsports.com, News Corporation, Strat-O-Matic, or The Sporting News. I acknowledge that if I fail to comply with the obligations set forth herein, remedies in law or equity may be inadequate and that Imagine Sports shall be entitled to the issuance of injunctive relief to enforce this User Agreement.
